Infinera is looking for an experienced paralegal with public company reporting (Securities Act of 1933 and 1934), corporate governance and commercial contract experience.

Job Responsibilities:


Corporate Securities: The job will entail Section 16 reporting, the preparation and distribution of the DEF 14, drafting and filing of Forms 8-K, review of Forms 10-Q and 10-K.


Corporate Governance: Preparation of minutes, maintenance and training of employees on corporate policies, maintenance of subsidiaries, knowledge of Insider Trading rules, trading windows, 10b5-1 plans, broker interaction, stockholder meeting planning, set-up and execution.


Commercial: Review and draft Non-Disclosure Agreements, draft of small customer contracts, review of supply contracts and record keeping.

Job Requirements:

· Senior paralegal with 12 or more years of experience.

· College degree preferred.

· Public company reporting (Securities Act of 1933 and 1934), corporate governance and commercial contract experience a must.

· Knowledge on tracking stock, Rule 144 and legal opinions, a plus.

· Knowledge of D&O Questionnaires, disclosure committees, SOX 404 and end of quarter/year-end audit requirements a plus.

· In-house public company experience and very strong organizational skills highly preferred.

· The candidate should have good decision making skills, the ability to take the initiative and work autonomously.
